Purpose
This Billing and Refund Policy explains how Squillify bills customers, measures usage, handles taxes, manages failed payments, and processes cancellations, disputes, and refund requests.
This Policy applies to paid plans, usage-based charges, add-ons, overages, and any other paid Squillify services, unless a separate written agreement states otherwise.
If there is a conflict between this Policy and a signed agreement between Squillify and a customer, the signed agreement prevails for that customer.
Status of this Policy
This Policy is a draft and is not yet effective. It is provided for product and legal-readiness purposes before launch.
Before this Policy becomes effective, Squillify must confirm:
- final plan names and prices;
- billing cycle options;
- applicable VAT handling;
- payment provider;
- invoice format and access method;
- refund windows and procedures;
- whether Squillify is offered to business customers only or also to consumers;
- any mandatory cancellation or withdrawal mechanisms required by applicable law.
Billing model
Squillify may bill customers based on one or more of the following:
- subscription plan;
- included usage quota;
- usage-based charges;
- overage charges;
- add-ons;
- enterprise or custom terms;
- taxes, duties, or regulatory charges where applicable.
Plan details, included quotas, applicable limits, prices, billing cycle, and any overage rules must be shown before subscription or purchase.
Usage measurement
Usage is measured server-side by Squillify systems.
Squillify may use usage events, billing counters, quota records, and other operational metadata to calculate billable usage, enforce limits, prevent abuse, and generate invoices.
Unless otherwise stated in a plan or written agreement:
- successful API executions count toward quota and billing;
- requests rejected for invalid input or other customer-side contract violations (for example, a payload that exceeds the declared input size) consume runtime and count toward quota and billing;
- rejected requests that never reach a skill (blocked by quota, rate limit, or missing permission) are not billed but may still be recorded for abuse prevention, reliability, security, and support purposes;
- failed requests caused by Squillify platform errors are excluded from billable usage where technically identifiable;
- requests blocked because of invalid credentials, exceeded limits, prohibited use, or breach of policy may still count for operational, security, or abuse records.
Squillify does not permanently store raw submitted payloads for billing reconciliation. Customers are responsible for keeping their own request logs, sanitized examples, and integration records if they need to investigate their own usage.
Quotas, limits, and overages
Each plan may include usage quotas, rate limits, file limits, execution limits, concurrent request limits, or capability-specific limits.
If a customer exceeds a plan limit, Squillify may, depending on the plan and configuration:
- reject additional requests;
- throttle traffic;
- require an upgrade;
- apply overage charges;
- restrict access to expensive or heavy capabilities;
- temporarily suspend access until the issue is resolved.
Overage charges, if applicable, must be disclosed before they are charged or must be governed by a written agreement.
Customers are responsible for configuring their applications, scripts, agents, and API keys to monitor usage and avoid unintended charges.
Agentic and automated usage
Squillify is designed to support automated and agent-driven usage. Customers remain responsible for all usage generated by their users, applications, agents, scripts, tools, integrations, and API keys.
Customers must implement appropriate controls to prevent runaway loops, uncontrolled retries, duplicate executions, excessive parallelism, or other unintended traffic patterns.
Usage generated by customer-controlled agents or automations is not refundable merely because it was unintended, inefficient, duplicated, or caused by customer-side configuration, unless applicable law requires otherwise or Squillify agrees in writing.
Billing cycle
Charges are billed according to the billing cycle shown at the time of subscription or purchase.
Billing cycles may be monthly, annual, usage-based, prepaid, postpaid, or custom.
For subscriptions, the selected plan renews automatically at the end of each billing cycle unless cancelled in accordance with this Policy, the Terms of Service, or the applicable order form.
Payment method
Customers must provide a valid payment method unless Squillify has approved invoicing, bank transfer, prepaid credits, or other payment terms in writing.
By providing a payment method, the customer authorizes Squillify or its payment processor to charge applicable fees, usage charges, overages, taxes, and other amounts due under the selected plan.
Invoices and billing records
Squillify will make invoices or billing records available through the dashboard, by email, or through another reasonable method.
Customers are responsible for ensuring that billing details are accurate, including:
- legal name;
- billing address;
- VAT number, where applicable;
- tax status;
- purchase order information, where required;
- billing contact email.
If a customer provides incorrect billing or tax information, Squillify may correct invoices, issue replacement invoices, request additional information, suspend invoicing privileges, or adjust future charges where permitted by law.
Taxes and VAT
Prices may exclude taxes unless expressly stated otherwise.
Squillify may add VAT, sales tax, withholding tax, duties, or other applicable charges where required by law.
For business customers, the tax treatment may depend on the customer's location, VAT status, and valid VAT identification number.
Customers are responsible for providing accurate tax information and any valid VAT number required for correct tax treatment.
If a customer is required by law to withhold tax from a payment, the customer must notify Squillify in advance and provide legally valid documentation. Unless a written agreement states otherwise, fees must be paid net of any customer-side withholding only where legally required.
Plan changes
Customers may upgrade, downgrade, or change plans only through the methods made available by Squillify.
Unless otherwise stated at the time of change:
- upgrades may take effect immediately;
- downgrades may take effect at the end of the current billing cycle;
- changing plans may affect quotas, limits, feature access, rate limits, and billing treatment;
- unused quota does not roll over unless the plan expressly says so;
- promotional pricing or discounts may not carry over to a new plan.
Cancellation
Customers may cancel a subscription using the cancellation method made available by Squillify or by contacting support where dashboard cancellation is unavailable.
Cancellation stops future renewals. It does not automatically refund fees already charged, unless this Policy, applicable law, or a written agreement requires a refund.
After cancellation, Squillify may continue to provide access until the end of the current paid billing period, unless access is terminated earlier because of breach, abuse, security risk, non-payment, or another reason allowed under the Terms of Service.
Refunds
Refunds are handled according to the plan, applicable law, and any written agreement with the customer.
Unless applicable law requires otherwise or Squillify agrees in writing, the following are not refundable:
- fees for billing periods already started;
- consumed API usage;
- overage charges caused by customer usage;
- charges caused by customer applications, agents, scripts, retries, or integrations;
- fees for add-ons already activated;
- fees for services already delivered;
- taxes paid or payable to tax authorities;
- charges resulting from breach of the Terms of Service, Acceptable Use Policy, or API Usage and Fair Use Policy.
Squillify may, at its discretion, issue credits, partial refunds, service credits, or goodwill adjustments. Such adjustments do not create an obligation to provide the same adjustment again.
Consumer withdrawal rights
If Squillify offers services to consumers, consumers may have mandatory withdrawal or cancellation rights under Luxembourg and European Union consumer law.
Where such rights apply, Squillify will provide the required pre-contractual information and withdrawal instructions before the policy becomes effective.
For digital services, digital content, subscriptions, or API services that begin during a withdrawal period, the availability and consequences of withdrawal may depend on the consumer's prior express consent, acknowledgement of loss of withdrawal right where applicable, and the extent to which the service has already been performed.
Nothing in this Policy limits mandatory consumer rights that cannot be waived by contract.
If Squillify is offered on a business-only basis, customers must not subscribe or purchase as consumers unless Squillify expressly allows consumer use.
Free trials, free tier, and promotional credits
Squillify may offer free trials, free usage tiers, test credits, promotional credits, or launch credits.
Unless expressly stated otherwise:
- free credits have no cash value;
- free credits are not refundable;
- unused free credits expire when the promotion or trial ends;
- Squillify may limit, revoke, or modify free usage where needed to prevent abuse, protect infrastructure, or comply with policy;
- creating multiple accounts, tenants, or API keys to bypass free-tier limits is prohibited.
Failed payments
If a payment fails, Squillify may notify the customer and retry the payment using the payment method on file.
If payment remains unresolved, Squillify may:
- suspend access;
- restrict API execution;
- disable paid features;
- downgrade the account;
- block new usage;
- terminate the subscription;
- recover amounts due where permitted by law.
Suspension for non-payment does not cancel amounts already owed.
Billing disputes
Customers must report billing disputes promptly by contacting [email protected].
A billing dispute should include:
- tenant or account identifier;
- invoice number, where available;
- disputed amount;
- billing period;
- explanation of the issue;
- relevant usage or payment records.
Squillify will investigate billing disputes in good faith.
Customers must not initiate chargebacks or payment reversals without first giving Squillify a reasonable opportunity to investigate, unless applicable law gives the customer a mandatory right to do so.
Service unavailability and credits
Service availability, maintenance, incidents, and any service credits are governed by the Service Availability Policy or a separate written agreement.
Unless a plan or written agreement provides a service credit, downtime or degraded performance does not automatically create a refund right.
Refunds or credits for incidents, if any, are not available where the issue was caused by:
- customer systems;
- third-party tools controlled by the customer;
- customer network problems;
- invalid credentials or revoked API keys;
- exceeded limits;
- prohibited use;
- force majeure;
- scheduled maintenance;
- beta, preview, or free services.
Termination for breach
If Squillify suspends or terminates access because of breach of the Terms of Service, Acceptable Use Policy, API Usage and Fair Use Policy, security misuse, abuse, fraud, unlawful activity, or non-payment, the customer is not entitled to a refund unless applicable law requires otherwise.
Currency
Prices and invoices will be shown in the currency displayed at the time of purchase or in the applicable order form.
Currency conversion fees, bank fees, card issuer fees, foreign exchange fees, or intermediary banking charges are the customer's responsibility unless applicable law requires otherwise.
Changes to this Policy
Squillify may update this Policy from time to time.
Material changes to billing, refund, overage, cancellation, or tax handling will be communicated where required by law or where reasonably appropriate for existing paid customers.
Changes do not affect mandatory rights that apply under law.
