These Terms are a draft and are not effective until published as active by Squillify. They are intended for legal review before launch.
1. Agreement to these Terms
By accessing or using Squillify, you agree to these Terms.
If you use Squillify on behalf of a company, organisation, tenant, or other legal entity, you represent and warrant that:
- you have authority to bind that entity;
- the entity accepts these Terms;
- all users, agents, applications, scripts, automations, and integrations acting under that entity's account or API keys comply with these Terms.
If you do not agree to these Terms, you must not access or use Squillify.
2. Business use and consumer use
Squillify is primarily intended for business and professional use.
Unless Squillify expressly allows consumer use in writing or in a specific plan, you may use Squillify only for business, professional, organisational, or development purposes.
If Squillify permits consumer use, mandatory consumer protection rights under applicable law will apply and nothing in these Terms limits rights that cannot legally be limited.
Before these Terms become active, Squillify must confirm whether consumer subscriptions are accepted.
3. The Service
Squillify provides on-demand software/API processing through a capability platform that allows applications, developers, AI agents, automation systems, and other software clients to discover, invoke, and integrate deterministic microskills through APIs, dashboard features, and integration layers.
Specific features may include:
- microskill catalog access;
- microskill execution;
- API access;
- API key management;
- tenant and organisation management;
- usage telemetry;
- quota and rate-limit controls;
- billing and subscription management;
- temporary file handling where applicable;
- documentation and developer tools;
- support channels.
Features, capabilities, limits, quotas, availability, and pricing depend on your plan and may change over time.
4. Incorporated policies
The following policies form part of these Terms where applicable:
- Privacy Policy;
- Squillify Chart Runtime Proprietary License, where applicable;
- Cookie Policy;
- Data Processing Agreement;
- Acceptable Use Policy;
- API Usage and Fair Use Policy;
- Billing and Refund Policy;
- Service Availability Policy;
- Support Policy;
- Security Policy;
- Data Retention Policy;
- Microskill Data Handling Policy;
- File Handling Policy;
- External Service Use Policy;
- AI / Training Use Policy;
- Tenant and API Key Responsibility Policy;
- Sub-processors page;
- Vulnerability Disclosure Policy.
If there is a conflict between these Terms and a policy, these Terms control unless the policy expressly states that it controls for a specific subject.
If there is a conflict between these Terms and the Data Processing Agreement regarding processing of Customer Personal Data on behalf of a customer, the Data Processing Agreement controls for that processing.
5. Accounts, tenants, and administrators
You may need an account and a tenant to use Squillify.
You are responsible for:
- providing accurate account and billing information;
- keeping account information up to date;
- controlling access to your tenant;
- assigning administrators and members appropriately;
- removing users who no longer require access;
- monitoring tenant activity;
- configuring permissions, scopes, quotas, and API key access correctly.
Tenant administrators are responsible for the actions of users, agents, applications, scripts, automations, and integrations operating under the tenant.
Squillify may treat actions taken using valid credentials, sessions, or API keys as authorised by the relevant account or tenant, unless Squillify has been notified of compromise and has had reasonable time to act.
6. API keys, credentials, and agents
You are responsible for maintaining the confidentiality and security of all API keys, credentials, tokens, sessions, and access mechanisms.
You are responsible for all activity performed using your account, tenant, API keys, credentials, agents, applications, scripts, automations, or integrations.
You must:
- keep API keys secret;
- scope API keys narrowly;
- rotate keys when needed;
- revoke compromised or unused keys;
- prevent keys from being exposed in client-side code, public repositories, logs, prompts, browser storage, screenshots, or insecure systems;
- monitor agent and automation behaviour;
- prevent uncontrolled retry loops;
- prevent abusive or excessive traffic;
- ensure agents submit only data that you are authorised to process through Squillify.
Squillify is not responsible for loss, misuse, cost, quota consumption, data exposure, or account activity caused by compromised credentials, misconfigured agents, exposed API keys, or customer-side automation errors, except to the extent caused by Squillify's breach of these Terms or applicable law.
7. Acceptable use
You must comply with the Acceptable Use Policy and the API Usage and Fair Use Policy.
You must not use Squillify for unlawful, abusive, harmful, unauthorised, deceptive, infringing, or security-threatening activity.
You must not attempt to bypass:
- rate limits;
- quotas;
- billing controls;
- tenant isolation;
- API key scopes;
- skill access controls;
- authentication controls;
- abuse prevention systems;
- security controls.
Squillify may restrict, throttle, suspend, block, disable, revoke, or terminate access where needed to protect the platform, customers, infrastructure, providers, third parties, data, security, or legal compliance.
8. Plans, fees, billing, and taxes
Paid use of Squillify is governed by the plan selected by the customer and the Billing and Refund Policy.
Fees may be based on:
- subscription plan;
- included usage;
- API calls;
- quota consumption;
- capability type;
- heavy or restricted capabilities;
- file handling;
- overage rules;
- additional services;
- applicable taxes.
Unless stated otherwise, prices may exclude taxes. Taxes may include VAT, GST, sales tax, withholding tax, or similar charges where applicable.
You are responsible for providing accurate billing details, including company name, billing address, VAT or tax identification number, and payment information.
Payment may be processed through a third-party payment processor such as Stripe. Use of a payment processor does not transfer Squillify's responsibility for defining pricing, plans, usage rules, refund eligibility, service access, or contractual terms unless expressly stated in writing.
Unless a separate written agreement states otherwise, invoices to customers are issued by Squillify or on behalf of Squillify through its billing provider.
9. Payment failures
If payment fails, if billing information is inaccurate, or if amounts remain unpaid, Squillify may:
- notify you;
- retry payment;
- restrict access;
- suspend paid features;
- downgrade the account;
- block API execution;
- terminate the subscription;
- recover unpaid amounts;
- refer the matter to collection or legal processes where appropriate.
You remain responsible for all valid charges incurred before suspension, downgrade, cancellation, or termination.
10. Refunds and cancellations
Refunds, credits, cancellations, downgrades, and chargebacks are governed by the Billing and Refund Policy, the applicable plan, and any written agreement.
Unless required by applicable law or expressly stated in a plan or agreement:
- fees are non-refundable;
- unused quota does not roll over;
- usage-based charges are not refundable once incurred;
- refunds are not granted for customer-side configuration errors, agent loops, exposed API keys, excessive retries, unused subscriptions, or failure to cancel before renewal.
Mandatory consumer rights, if applicable, are not limited by this section.
11. Rate limits, quotas, and fair use
Squillify may apply rate limits, quotas, concurrency limits, file size limits, execution time limits, heavy-skill limits, and other technical or commercial controls.
Limits may apply per:
- account;
- tenant;
- API key;
- user;
- plan;
- skill;
- endpoint;
- file operation;
- billing period;
- time window;
- source or traffic pattern.
Requests may be rejected, delayed, throttled, blocked, or charged according to the applicable plan and policies.
You must design integrations to handle errors, rate limits, expired files, quota exhaustion, and temporary degradation gracefully.
12. Customer data and submitted content
You retain ownership of content, data, files, prompts, inputs, outputs, and other materials submitted to Squillify by you, your users, applications, agents, API keys, or integrations ("Customer Data").
You grant Squillify a limited licence to process Customer Data as necessary to:
- provide the Services;
- execute requested microskills;
- return results;
- operate, secure, monitor, and support the platform;
- enforce these Terms and applicable policies;
- comply with legal obligations.
You represent and warrant that:
- you have the rights and permissions needed to submit Customer Data to Squillify;
- Customer Data does not violate applicable law or third-party rights;
- your use of Squillify complies with your own policies and legal obligations;
- agents, applications, and API keys acting under your control submit only data that you are permitted to process.
Squillify does not determine whether Customer Data contains personal data, sensitive data, confidential data, regulated data, third-party data, trade secrets, or prohibited data. You are responsible for making that determination before submission.
13. Personal data and data processing
The Privacy Policy explains how Squillify processes personal data as controller.
Where Squillify processes personal data on behalf of a customer as processor, the Data Processing Agreement applies.
You are responsible for determining whether your use of Squillify involves personal data and for ensuring that you have a lawful basis and appropriate authority to submit such data.
You must not submit special categories of personal data, criminal offence data, health data, children's data, payment card data, government identifiers, authentication secrets, regulated financial data, or other high-risk data unless:
- processing is lawful;
- you have authority to submit the data;
- the selected Squillify capability is appropriate for that data;
- required security, contractual, and compliance safeguards are in place.
14. Microskill data handling
Squillify's default platform design is based on data minimisation.
Unless expressly stated otherwise for a specific feature or capability:
- submitted microskill payloads are processed for the requested execution;
- raw submitted payloads are not permanently stored as part of normal execution;
- usage telemetry is designed to be metadata-only;
- temporary file storage is used only where required;
- temporary files are short-lived;
- payloads are not used to train artificial intelligence models;
- payloads are not sent to hidden external services unless the relevant skill is explicitly labelled as using an external service.
Detailed rules are set out in the Microskill Data Handling Policy, Data Retention Policy, File Handling Policy, Telemetry and Analytics Policy, External Service Use Policy, and AI / Training Use Policy.
15. No AI training on customer payloads
Squillify does not use customer-submitted raw microskill payloads to train artificial intelligence models.
Operational metadata may be used for security, billing, reliability, abuse prevention, debugging, capacity planning, product analytics, and service improvement as described in the applicable policies.
If Squillify later offers AI-backed capabilities that process data differently, those capabilities must be explicitly labelled and governed by appropriate terms.
16. External services and third-party providers
Squillify may use third-party providers to operate the platform, including infrastructure, hosting, authentication, payment, database, storage, email, monitoring, analytics, and support providers.
Current or planned sub-processors are listed on the Sub-processors page.
Some microskills or features may use external services. Where a skill uses an external service, Squillify will identify it in the relevant documentation or data handling labels where applicable.
Third-party services may be subject to their own terms, policies, availability, restrictions, and security practices. Squillify is not responsible for third-party services outside Squillify's reasonable control, except as required by applicable law or contract.
17. Intellectual property
Squillify and its licensors own all rights, title, and interest in and to:
- the Squillify platform;
- APIs;
- software;
- microskill framework;
- execution infrastructure;
- documentation;
- designs;
- trademarks;
- service marks;
- trade names;
- logos;
- underlying technology;
- know-how;
- improvements;
- analytics derived from aggregate or metadata-level use of the platform.
Except as expressly granted in these Terms, no rights are transferred to you.
You may use Squillify only as permitted by these Terms, your plan, and applicable documentation.
Certain Squillify-generated chart artefacts require the proprietary Squillify Chart Runtime for interactive operation. Where applicable, deployment and use of that Runtime are governed by the Squillify Chart Runtime Proprietary License.
18. Customer feedback
If you provide feedback, suggestions, ideas, requests, bug reports, or recommendations, Squillify may use them without restriction or compensation to improve, develop, operate, secure, market, and support the Services.
You must not provide feedback that you are not authorised to disclose.
19. Open-source and third-party components
Squillify may use open-source and third-party software components.
Use of such components does not grant you additional rights except those expressly provided by their applicable licences.
Squillify's use of open-source components is described in the Open Source / Third-Party Component Policy where applicable.
20. Confidentiality
Information disclosed by one party to the other that is marked confidential or should reasonably be understood as confidential must be protected using reasonable care and used only for the purpose for which it was disclosed.
Confidential information does not include information that:
- is publicly available without breach;
- was already known without confidentiality restriction;
- is independently developed without use of confidential information;
- is lawfully received from a third party without confidentiality restriction.
This section does not limit Squillify's ability to use operational metadata as described in the Privacy Policy, Telemetry and Analytics Policy, and other applicable policies.
21. Security
Squillify maintains technical and organisational measures designed to protect the platform and customer data.
You are responsible for securing your own accounts, API keys, applications, agents, networks, systems, devices, credentials, and integrations.
You must promptly notify Squillify of suspected unauthorised access, API key compromise, security incidents, or misuse involving your account or tenant.
Security issues should be reported to [email protected].
Vulnerability reports should follow the Vulnerability Disclosure Policy.
22. Support
Support is provided according to the Support Policy and the customer's plan.
Unless expressly stated in a plan, order form, enterprise agreement, or written contract:
- support is provided on a best-effort basis;
- response targets are operational goals, not contractual guarantees;
- resolution times are not guaranteed;
- support is not available 24/7;
- support does not include legal, tax, regulatory, data protection, security audit, custom development, or consulting services.
23. Availability
Service availability is described in the Service Availability Policy.
Unless expressly stated in a plan, order form, enterprise agreement, or written contract:
- Squillify does not provide a contractual uptime commitment;
- availability targets are operational goals only;
- service credits are not available;
- beta, preview, trial, free, sandbox, and experimental services are provided on an as-is and best-effort basis.
24. Beta, preview, free, and experimental features
Squillify may offer beta, preview, free, trial, sandbox, experimental, or early-access features.
Such features may be changed, limited, suspended, discontinued, or removed at any time.
They are provided as-is and as-available, without warranty, service credit, continuity obligation, support guarantee, or availability commitment unless expressly stated in writing.
25. Suspension and termination by Squillify
Squillify may suspend, restrict, throttle, block, disable, or terminate access immediately where reasonably necessary to:
- protect the platform;
- protect customers;
- protect infrastructure;
- protect sub-processors or third parties;
- prevent abuse;
- prevent fraud;
- enforce these Terms or policies;
- respond to security risk;
- comply with law;
- address non-payment;
- address excessive or harmful traffic;
- prevent unauthorised access;
- avoid legal or regulatory risk.
Where practical and appropriate, Squillify will provide notice. Notice may not be provided where immediate action is required or where notice would create risk.
26. Termination by customer
You may stop using Squillify at any time.
Subscription cancellation, downgrade, refund, data export, deletion, and post-termination access are governed by your plan, the Billing and Refund Policy, the Data Retention Policy, and any written agreement.
Termination does not relieve you of obligations incurred before termination, including payment obligations, confidentiality obligations, liability for misuse, or legal obligations.
27. Effects of termination
After termination, Squillify may:
- disable access;
- revoke API keys;
- stop processing new requests;
- delete or retain data according to the Data Retention Policy;
- retain billing, tax, accounting, security, abuse, dispute, and legal records where required or permitted;
- retain anonymised or aggregated metadata where permitted by law;
- pursue unpaid amounts or other remedies.
Raw microskill payloads are not permanently stored as part of normal execution and may not be available for export after execution or temporary retention expiry.
28. Compliance with laws
You must comply with all applicable laws and regulations in connection with your use of Squillify.
You are responsible for determining whether your use of Squillify is subject to sector-specific laws, including financial services regulation, outsourcing rules, operational resilience rules, data protection rules, export controls, sanctions, healthcare regulation, employment regulation, consumer protection rules, or confidentiality obligations.
Squillify does not provide legal, regulatory, tax, security, or compliance advice.
29. Financial services, DORA, and regulated use
Squillify is not designed as a regulated financial entity.
If you are a financial entity or otherwise subject to the EU Digital Operational Resilience Act ("DORA"), ICT outsourcing rules, CSSF requirements, or similar operational resilience obligations, you are responsible for determining whether your use of Squillify constitutes an ICT service arrangement, outsourcing arrangement, critical or important function support, or other regulated dependency.
Squillify may provide reasonable information about its security, availability, sub-processors, incident handling, data handling, and operational practices through its Trust Center and policies.
Unless expressly agreed in a separate written enterprise agreement, Squillify does not commit to DORA-specific contractual terms, audit rights, exit plans, localisation, resilience testing, subcontracting restrictions, incident notification timelines, regulatory access rights, or other regulated financial-sector obligations.
Customers subject to DORA or similar regimes must not use Squillify for critical or important regulated functions unless the required contractual, operational, risk, security, audit, exit, and regulatory conditions have been agreed in writing.
30. Export controls and sanctions
You must not use Squillify in violation of applicable export control, sanctions, anti-money laundering, anti-bribery, anti-corruption, or trade compliance laws.
You must not use Squillify from, for, or on behalf of sanctioned persons, organisations, territories, or prohibited end uses.
Squillify may restrict or terminate access where required to comply with sanctions, export controls, or trade compliance obligations.
31. Indemnity
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Squillify, its affiliates, directors, officers, employees, contractors, providers, and licensors from claims, losses, liabilities, damages, fines, penalties, costs, and expenses arising from:
- your use of Squillify;
- Customer Data submitted by you or on your behalf;
- your applications, agents, scripts, automations, or integrations;
- your violation of these Terms or policies;
- your violation of law;
- your infringement of third-party rights;
- your unauthorised processing of data;
- your misuse of API keys or credentials;
- your failure to secure your account, tenant, systems, agents, or API keys.
This section does not require indemnification to the extent a claim is caused by Squillify's breach of these Terms or by liability that cannot be excluded under applicable law.
32. Disclaimers
To the maximum extent permitted by applicable law, Squillify is provided on an "as is" and "as available" basis.
Squillify disclaims all warranties, representations, and conditions not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, security, compatibility, and suitability for regulated use.
Squillify does not warrant that:
- the Services will be uninterrupted, secure, or error-free;
- all defects will be corrected;
- outputs will be accurate, complete, or suitable for your purpose;
- the Services will meet all regulatory, legal, or compliance requirements applicable to you;
- integrations with third-party systems will remain available;
- beta, preview, trial, free, or experimental features will continue.
Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.
33. Limitation of liability
To the maximum extent permitted by applicable law, Squillify will not be liable for:
- indirect, incidental, special, consequential, exemplary, or punitive damages;
- loss of profits;
- loss of revenue;
- loss of business;
- loss of goodwill;
- loss of anticipated savings;
- loss or corruption of data;
- business interruption;
- cost of substitute services;
- damages caused by customer-side agents, applications, integrations, scripts, credentials, or API keys;
- damages caused by third-party services outside Squillify's reasonable control.
To the maximum extent permitted by applicable law, Squillify's total aggregate liability arising out of or relating to the Services or these Terms is limited to the amounts paid by the customer to Squillify for the Services giving rise to the claim during the three months before the event giving rise to liability.
If no fees were paid, Squillify's total aggregate liability is limited to EUR 100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intentional misconduct, fraud, or liability that mandatory law does not allow to be excluded or limited.
Before these Terms become active, the liability cap must be reviewed by legal counsel.
34. Force majeure
Squillify is not liable for delay or failure to perform caused by events beyond its reasonable control, including:
- natural disasters;
- war;
- terrorism;
- civil unrest;
- labour disputes;
- pandemics;
- government action;
- internet failures;
- power failures;
- provider outages;
- cloud infrastructure failures;
- denial-of-service attacks;
- malware attacks;
- sanctions or trade restrictions;
- legal or regulatory changes.
35. Changes to the Services
Squillify may modify, improve, limit, discontinue, replace, or remove features, capabilities, APIs, documentation, plans, integrations, or pricing.
Where a material change negatively affects paid customers, Squillify will aim to provide reasonable notice where practical.
Squillify may make immediate changes without notice where needed for security, legal compliance, abuse prevention, provider requirements, operational stability, or emergency maintenance.
36. Changes to these Terms
Squillify may update these Terms from time to time.
If changes are material, Squillify will provide reasonable notice through the dashboard, website, email, documentation, or another appropriate channel.
Continued use of Squillify after changes become effective constitutes acceptance of the updated Terms.
If you do not agree to updated Terms, you must stop using Squillify and, where applicable, cancel your subscription.
37. Notices
Squillify may provide notices through:
- the dashboard;
- email;
- website notice;
- documentation;
- billing portal;
- support communication;
- status page;
- other reasonable channels.
You are responsible for keeping contact and billing information up to date.
Legal notices to Squillify must be sent to [email protected], unless another written notice method is required by law or agreement.
38. Assignment
You may not assign or transfer these Terms without Squillify's prior written consent.
Squillify may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, corporate reorganisation, or transfer of the Services, provided that such assignment does not materially reduce customer rights in violation of applicable law.
39. Severability
If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions remain in effect.
The invalid provision will be replaced or interpreted to achieve the closest lawful effect to the original intent.
40. No waiver
Failure to enforce any provision of these Terms does not waive Squillify's right to enforce that provision later.
41. Entire agreement
These Terms, incorporated policies, applicable plan terms, order forms, and written agreements form the entire agreement between you and Squillify regarding the Services.
They replace prior or contemporaneous understandings regarding the Services, unless expressly preserved in writing.
42. Governing law and jurisdiction
These Terms are governed by the laws of Luxembourg.
Subject to mandatory applicable law, the competent courts of Luxembourg City, Luxembourg, have jurisdiction over disputes arising out of or relating to these Terms or the Services.
If mandatory consumer protection or jurisdiction rules apply, nothing in this section limits rights that cannot legally be limited.
